1. INTRODUCTION AND ACCEPTANCE
Welcome to sinzianaiordache.com (the “Website”), owned and operated by Sinziana Iordache Art, a division of PixelUp Inc. (“Sinziana Iordache Art,” “we,” “us,” or “our”).
These Terms of Use (“Terms”) govern your access to and use of the Website, including its content, online store, customer account features, and the products and services offered through or in connection with the Website.
Please read these Terms carefully before using the Website or purchasing products or services. By accessing or using the Website, creating an account, placing an order, or otherwise using our products or services, you acknowledge that you have read and agree to be bound by these Terms to the extent permitted by applicable law.
If you do not agree with these Terms, you should not use the Website or purchase products or services through it.
Purchases and interactions with Sinziana Iordache Art may also be governed by our Privacy Policy, Returns & Refunds Policy, and Delivery & Shipping Policy, which should be read together with these Terms where applicable.
Commissioned artwork may also be subject to a separate written Commission Agreement setting out project-specific terms, including artwork specifications, price, deposit, payment schedule, approvals, revisions, completion, delivery, copyright, and other conditions. Where a signed Commission Agreement contains terms that differ from these general Terms, the Commission Agreement will govern the specific commission to the extent of that difference.
Nothing in these Terms is intended to exclude, restrict, or waive any right or remedy that cannot lawfully be excluded, restricted, or waived under applicable law.
2. Changes to These Terms
Sinziana Iordache Art may update or modify these Terms from time to time to reflect changes to the Website, products or services, business practices, technology, payment or shipping arrangements, or applicable legal requirements.
When changes are made, the revised Terms will be posted on the Website and the Last Updated date will be revised accordingly.
Changes will apply from the effective date of the updated Terms unless otherwise stated or required by applicable law.
Changes to these general Terms will not retroactively alter the material terms of an existing completed purchase or a separately signed Commission Agreement unless the parties expressly agree otherwise or a change is required by applicable law.
We encourage you to review these Terms periodically, particularly before placing an order or entering into a new transaction.
3. Intellectual Property
The Website and its content are owned by or licensed to Sinziana Iordache Art and are protected by Canadian and international copyright, trademark, and other applicable intellectual property laws.
Protected content may include, without limitation, original artwork and reproductions; images and photographs of artwork; commissioned artwork; drawings and illustrations; details and crops of artwork; concepts and mockups; photographs and videos documenting the artistic process; works-in-progress; giclée print imagery; text; graphics; logos; branding; page layouts; designs; videos; and other visual, written, digital, or creative material appearing on or made available through the Website.
Except as expressly permitted by these Terms or by applicable law, no Website content may be copied, reproduced, downloaded, modified, republished, distributed, transmitted, displayed, licensed, sold, commercially exploited, or used to create derivative works without prior written permission from Sinziana Iordache Art or the applicable rights holder.
The purchase of an original artwork, commissioned artwork, or giclée print transfers ownership of the physical artwork or print purchased, once payment obligations have been satisfied, but does not transfer copyright or other intellectual property rights in the underlying artwork unless expressly agreed in writing.
Accordingly, ownership of a physical artwork does not by itself give the purchaser the right to reproduce the artwork, manufacture or sell prints or merchandise incorporating it, license its image, use it commercially, create or authorize derivative products, or otherwise exploit the copyright in the artwork.
Unless otherwise expressly agreed in writing, Sinziana Iordache retains all copyright and other intellectual property rights she holds in her original and commissioned artwork.
Artificial Intelligence and Automated Use
Artwork, photographs, images, videos, mockups, text, and other Website content may not be systematically scraped, harvested, extracted, downloaded, reproduced, or compiled for the purpose of developing, training, fine-tuning, testing, validating, supplying data to, or operating artificial intelligence, generative artificial intelligence, machine-learning, computer-vision, image-generation, or similar automated systems without prior written permission from Sinziana Iordache Art.
Nothing in these Terms grants any licence to use Sinziana Iordache Art’s artwork or Website content as a training dataset, reference dataset, input collection, or other source material for such systems.
This restriction does not prohibit ordinary indexing by legitimate search engines for the purpose of displaying and directing users to publicly available Website content, subject to applicable technical restrictions and law.
4. Permitted Use of the Website
You may access and use the Website for lawful personal and non-commercial purposes, including viewing artwork, learning about Sinziana Iordache and her work, making inquiries, requesting commissions, creating or accessing a customer account, and purchasing products or services offered through the Website.
You may download, save, or print limited portions of Website content for your own personal and non-commercial reference where reasonably necessary, provided that you do not remove or alter copyright, trademark, attribution, watermark, or other proprietary notices.
This limited permission does not grant you ownership of Website content or any licence to reproduce or commercially exploit Sinziana Iordache’s artwork.
Without prior written permission, you may not reproduce, republish, distribute, sell, license, commercially exploit, modify, create derivative works from, publicly display for commercial purposes, systematically collect, scrape, frame, mirror, or otherwise use substantial portions of the Website or its content except where such restriction is prohibited by applicable law.
You may not use the Website in a manner that interferes with its operation or security, attempts to gain unauthorized access to the Website or related systems, introduces malicious code, misuses customer or account functionality, collects information about other users without authorization, or otherwise violates applicable law or these Terms.
More detailed restrictions concerning unlawful, automated, abusive, or prohibited uses of the Website are provided in the No Unlawful or Prohibited Use section of these Terms.
5. Copyright & Trademarks
Unless otherwise indicated, original artwork created by Sinziana Iordache and images of that artwork displayed on the Website are protected by copyright. Copyright in an artwork is separate from ownership of the physical original or reproduction.
Purchasing an original drawing, commissioned artwork, or giclée print does not transfer copyright in the artwork to the purchaser. The purchaser may possess, privately display, gift, or resell the physical artwork they lawfully own, subject to any separately agreed contractual restrictions, but mu not reproduce or commercially exploit the artwork without appropriate authorization.
Without prior written permission, artwork or images from the Website may not be reproduced as prints, posters, merchandise, publications, digital products, advertising materials, NFTs or other tokenized assets, commercial social-media content, or other products or reproductions.
Images of artwork may not be materially altered, falsely attributed, presented as the work of another person, or used in a manner that falsely suggests endorsement, collaboration, sponsorship, or affiliation by Sinziana Iordache Art.
The name Sinziana Iordache, the Sinziana Iordache Art name and branding, logos, and other trademarks, trade names, or identifying marks appearing on the Website may not be used in a manner that creates confusion regarding source, sponsorship, affiliation, or endorsement without prior authorization.
Nothing on the Website or in these Terms grants, by implication or otherwise, a licence or right to use any copyright, trademark, trade name, branding, artwork, or other intellectual property except as expressly provided.
Sinziana Iordache Art respects the intellectual property rights of others. If you believe that material appearing on the Website infringes copyright or another intellectual property right that you own or are authorized to enforce, please contact info@sinzianaiordache.com with sufficient information to identify the material and explain the basis of your concern.
6. User Representations
By using the Website, creating an account, submitting information, placing an order, requesting a commission, or otherwise interacting with Sinziana Iordache Art, you represent and warrant that the information you provide is accurate, current, and complete to the best of your knowledge.
You agree that you have the legal capacity to enter into these Terms and, where you place an order or enter into an agreement on behalf of another individual, business, or organization, that you have the authority to do so.
You agree not to use the Website for any unlawful, fraudulent, misleading, abusive, or unauthorized purpose and not to use the Website in a manner that violates these Terms or any applicable law or regulation.
If you provide photographs, images, specifications, designs, logos, trademarks, reference materials, or other content in connection with a commission or other request, you represent that you have the right to provide those materials and to authorize their use by Sinziana Iordache Art for the purpose for which they were supplied.
You agree not to provide materials or instructions that knowingly infringe the copyright, trademark, privacy, publicity, confidentiality, or other rights of another person or entity.
You are responsible for ensuring that information provided in connection with an order, including billing, shipping, contact, and delivery information, is accurate and complete.
Sinziana Iordache Art reserves the right to refuse or cancel an order, inquiry, account, commission request, or other transaction where there is a reasonable basis to believe that information supplied is fraudulent, materially inaccurate, unauthorized, unlawful, or inconsistent with these Terms, subject to applicable law and any existing contractual obligations.
7. User Registration
Certain features of the Website may allow or require you to create a customer account.
When creating or maintaining an account, you agree to provide accurate and current information and to update that information where reasonably necessary.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account to the extent that such activity results from your actions or failure to take reasonable precautions.
You should notify info@sinzianaiordache.com promptly if you believe that your account credentials have been lost, compromised, disclosed without authorization, or used by another person without your permission.
Sinziana Iordache Art may suspend or restrict access to an account where reasonably necessary to investigate suspected unauthorized activity, fraud, misuse, security concerns, or violations of these Terms.
We may also disable or remove accounts that are no longer required, have been created fraudulently, are being misused, or otherwise present a legitimate security or operational concern, subject to applicable law.
Information collected through customer accounts is handled in accordance with our Privacy Policy.
8. Products & Artwork
Sinziana Iordache Art offers products and services that may include original drawings, commissioned artwork, and made-to-order giclée prints.
We make reasonable efforts to describe and display artwork accurately, including its dimensions, materials, format, edition information where applicable, and other relevant characteristics. However, the appearance of artwork on a screen may vary from its physical appearance due to photography, lighting, screen settings, colour calibration, browser or device characteristics, printing processes, paper or substrate characteristics, and other factors outside our control. Reasonable differences of this kind do not by themselves constitute a defect.
Original drawings are individually created works of art. Commissioned drawings are created by hand for a particular Client based on the specifications, references, approved concept or mockup, and other terms agreed for that commission. Because of the handmade nature of original artwork, reasonable artistic variations are inherent in the finished work, and a commissioned drawing will not necessarily reproduce a digital mockup, photograph, or reference image with mechanical or photographic exactness.
A Client-approved concept or mockup establishes the principal composition and direction of a commission while allowing for the Artist’s hand-rendered interpretation and the natural characteristics of an original drawing. Where a commissioned artwork materially departs from the approved concept or agreed material specifications, any correction, approval, refusal, or other remedy will be determined in accordance with the applicable Commission Agreement and applicable law.
Giclée prints are produced to order. Where a print is offered as part of a limited or numbered edition, the edition information displayed on the applicable product page forms part of the product description.
Availability of original artwork is inherently limited. An original may become unavailable if it has already been sold, reserved, or otherwise committed. We reserve the right to correct availability or inventory errors and to cancel an order where an item was mistakenly shown as available, in which case amounts paid for the unavailable item will be refunded.
Product descriptions, dimensions, prices, edition information, availability, and other Website content may occasionally contain typographical, photographic, technical, or administrative errors. We reserve the right to correct such errors, subject to applicable law and without altering an already concluded transaction in a manner that would unlawfully prejudice the purchaser.
Purchasing an original artwork, commissioned artwork, or giclée print gives the purchaser ownership of the physical item purchased once applicable payment obligations have been satisfied. Copyright and reproduction rights are not transferred with ownership of the physical artwork, except where expressly agreed in writing.
Orders are also subject, where applicable, to our Returns & Refunds Policy and Delivery & Shipping Policy.
Commissioned artwork may be governed by a separate Commission Agreement containing additional or different provisions regarding specifications, approvals, revisions, payment, completion, cancellation, delivery, copyright, reproduction rights, exclusivity, and other terms specific to the commission.
9. Purchases & Payment
Prices displayed on the Website are stated in Canadian dollars (CAD) unless otherwise expressly indicated.
Payment methods available through the Website may include PayPal, credit and debit cards, and Apple Pay. Available payment methods may change from time to time and will be displayed during checkout.
Payments are processed through third-party payment providers. Sinziana Iordache Art does not independently require or intend to store complete credit or debit card numbers or card security codes on its own systems. Payment providers may apply their own terms, privacy practices, security procedures, authorization requirements, and fraud-prevention measures.
If your payment account or card is denominated in a currency other than Canadian dollars, your payment provider or financial institution may perform a currency conversion and may apply its own exchange rate or fees. Sinziana Iordache Art does not control currency conversion rates or charges imposed by payment providers or financial institutions.
You agree to provide current, complete, and accurate billing, contact, payment, and shipping information for purchases made through the Website and to promptly provide corrected information if an error is discovered.
For products purchased directly through the Website, payment is generally due in full at the time the order is placed unless otherwise stated.
Original commissioned artwork may be subject to a different payment schedule. Unless otherwise agreed in writing, original watch drawing commissions and other custom commissions require a 50% deposit, with the remaining balance due upon completion and before the artwork is shipped, delivered, or otherwise released to the Client. The deposit remains refundable until work begins on the final commissioned artwork. Once the Client has approved the agreed concept or mockup and the Artist begins work on the final commissioned artwork, the deposit becomes non-refundable, except where otherwise provided in the applicable Commission Agreement, required by applicable law, or agreed in writing. Detailed payment and cancellation terms are contained in the applicable Commission Agreement and Returns & Refunds Policy.
An order submitted through the Website is subject to acceptance. We reserve the right to refuse or cancel an order where reasonably necessary because of product unavailability, an obvious pricing or description error, suspected fraud or unauthorized payment activity, inability to fulfil or ship the order, legal or regulatory restrictions, or another legitimate reason.
If Sinziana Iordache Art cancels an order after payment has been received for reasons not caused by the purchaser, amounts paid for products or services that will not be supplied will be refunded in accordance with applicable law and our policies.
Taxes, shipping charges, customs duties, import taxes, brokerage fees, and other charges may apply depending on the order and destination. Charges collected directly through the Website will be shown during checkout where applicable. Customs duties, import taxes, brokerage fees, or similar destination-country charges that are not collected during checkout remain the purchaser’s responsibility as described in our Delivery & Shipping Policy.
Free or express shipping options, where available, are determined according to the destination and options displayed during checkout.
Orders, cancellations, refunds, shipping, and delivery are additionally governed by the applicable Returns & Refunds Policy and Delivery & Shipping Policy.
10. Reviews
The Website may allow customers or visitors to submit reviews, ratings, testimonials, comments, or other feedback concerning artwork, products, commissions, or their experience with Sinziana Iordache Art.
If you submit a review or testimonial, you agree that it reflects your genuine experience and that, to the best of your knowledge, the information you provide is truthful and not deliberately misleading.
Reviews must not contain unlawful, defamatory, threatening, abusive, discriminatory, obscene, fraudulent, or knowingly false content; disclose another person’s private or confidential information without authorization; infringe intellectual property or other legal rights; contain malicious code or deceptive links; or constitute unauthorized advertising, spam, or commercial solicitation.
Sinziana Iordache Art may moderate, decline to publish, or remove reviews where reasonably necessary because they violate these Terms, contain unlawful or inappropriate material, reveal personal or confidential information, are unrelated to the relevant product or service, constitute spam, or present a legitimate legal, security, or technical concern.
We are not obligated to remove a review merely because it expresses a negative opinion. Legitimate criticism and genuine customer experiences may remain published.
By voluntarily submitting a review or testimonial for publication, you grant Sinziana Iordache Art a non-exclusive, worldwide, royalty-free licence to reproduce, display, publish, format, and use that review in connection with the Website and reasonable promotion of Sinziana Iordache Art, subject to applicable law.
This licence does not transfer ownership of your underlying intellectual property to Sinziana Iordache Art.
Where a review identifies you by name, username, or other information, we will handle associated personal information in accordance with our Privacy Policy and applicable law.
Reviews and testimonials submitted through the Website are distinct from photographs, reference materials, concepts, specifications, or other content supplied privately in connection with a commissioned artwork. Those materials are governed by the applicable commission arrangements and other provisions of these Terms.
11. User Comments & Submissions
The Website may allow you to submit comments, inquiries, feedback, suggestions, testimonials, reviews, or other communications to Sinziana Iordache Art.
You retain ownership of any intellectual property rights you hold in material you submit. Providing material to Sinziana Iordache Art does not, by itself, transfer ownership of that material to us.
Where you voluntarily submit comments, feedback, testimonials, photographs, or other content with the intention that they be published or used in connection with Sinziana Iordache Art, you grant us a non-exclusive, worldwide, royalty-free licence to reproduce, display, publish, format, and use that material for the purpose for which it was provided, including reasonable website, portfolio, social media, editorial, and promotional uses, subject to applicable privacy and other laws.
You represent that you have the necessary rights or permissions to provide any material you submit and to authorize its intended use. You must not submit material that knowingly infringes another person’s copyright, trademark, privacy, publicity, confidentiality, or other legal rights.
Materials provided privately in connection with a commissioned artwork, including reference photographs, watch images, specifications, design preferences, concepts, correspondence, and approval instructions, are treated differently from public comments or promotional submissions.
Such commission materials may be used by Sinziana Iordache Art as reasonably necessary to evaluate, develop, document, create, and complete the commissioned artwork. Ownership and additional usage rights concerning commission materials, mockups, progress documentation, and the completed artwork may also be addressed in the applicable Commission Agreement.
Where you provide photographs, images, specifications, logos, designs, or other third-party materials for use in a commission, you represent that you have the right to provide those materials and authorize their use for the agreed purpose.
You should not submit confidential, proprietary, or sensitive information through public comment, review, or other publicly accessible areas of the Website.
Nothing in this section requires Sinziana Iordache Art to publish, retain, respond to, or use any submission.
12. Site Management
Sinziana Iordache Art reserves the right to manage the Website as reasonably necessary to maintain its operation, security, integrity, legal compliance, and appropriate use.
We may monitor Website activity where reasonably necessary for security, fraud prevention, troubleshooting, enforcement of these Terms, protection of intellectual property, or compliance with legal obligations.
We may restrict, suspend, or block access to the Website or particular features where there is a reasonable basis to believe that a user is engaging in unlawful activity, fraud, unauthorized access, malicious automated activity, scraping, security attacks, intellectual property infringement, abuse, or other conduct that violates these Terms.
We may remove, disable, restrict access to, or decline to publish content that violates these Terms, infringes or appears reasonably likely to infringe legal rights, contains malicious code, creates a security risk, or otherwise presents a legitimate legal or operational concern.
We may also take reasonable technical measures to prevent unauthorized copying, scraping, automated extraction, misuse, or exploitation of Website content, including images of artwork and other protected material.
Nothing in this section requires Sinziana Iordache Art to continuously monitor all Website activity or user-generated content, nor does it create an obligation to identify every possible violation before it occurs.
Any collection or use of personal information for Website management, security, or fraud-prevention purposes will be handled in accordance with our Privacy Policy and applicable law.
13. Modifications & Interruptions
Sinziana Iordache Art may modify, update, suspend, remove, or discontinue portions of the Website or its functionality from time to time.
We may also change the artwork, products, services, features, payment methods, shipping options, content, or other offerings made available through the Website, subject to existing contractual obligations and applicable law.
We do not guarantee that the Website or any particular feature will always be available, uninterrupted, error-free, or compatible with every browser, device, operating system, or third-party service.
Website availability may occasionally be affected by maintenance, software updates, hosting issues, security incidents, Internet or telecommunications failures, third-party service interruptions, technical problems, or circumstances outside our reasonable control.
Where reasonably possible, we will take appropriate steps to restore affected Website functionality. However, Sinziana Iordache Art is not responsible for temporary Website unavailability or interruption to the extent caused by circumstances outside our reasonable control, subject to any rights or remedies that cannot lawfully be excluded.
A Website interruption does not by itself cancel or invalidate an existing order, payment obligation, commission, or other agreement.
If an interruption materially affects an existing order or commission, we will make reasonable efforts to communicate with the affected customer using the contact information available to us.

You may link to publicly accessible pages of the Website for legitimate informational, editorial, personal, or non-commercial purposes, provided that the link is fair, lawful, and does not damage or take unfair advantage of the reputation of Sinziana Iordache Art.

Third-party websites and services are operated independently from Sinziana Iordache Art. We do not control their content, availability, security, accessibility, privacy practices, terms, products, services, or business practices.
The inclusion of a third-party link does not necessarily constitute an endorsement, sponsorship, recommendation, partnership, or guarantee by Sinziana Iordache Art.

You may not use images of Sinziana Iordache’s artwork to create unauthorized reproductions, prints, merchandise, digital products, NFTs or other tokenized assets, derivative commercial products, advertising materials, or other commercial content.
You may not use the Website or its content in a way that falsely suggests endorsement, sponsorship, affiliation, authorship, or collaboration by Sinziana Iordache or Sinziana Iordache Art.
We reserve the right to restrict or suspend access, cancel fraudulent or unauthorized transactions, preserve relevant records, and take other reasonable action where we believe the Website is being used unlawfully or in material violation of these Terms.
Where appropriate, suspected unlawful activity may be reported to payment providers, service providers, regulatory authorities, law-enforcement agencies, or other appropriate parties in accordance with applicable law and our Privacy Policy.

Sinziana Iordache Art may use reasonable technical and administrative measures to identify, filter, block, or remove spam, fraudulent communications, malicious submissions, or abusive automated activity.
Where appropriate, accounts or access associated with such activity may be restricted or suspended.
Nothing in this section prohibits legitimate customer inquiries, commission requests, business correspondence, media inquiries, or other genuine communications relating to Sinziana Iordache Art and its work.
18. Disclaimers & No Warranties
Sinziana Iordache Art makes reasonable efforts to maintain accurate and current information on the Website and to provide products and services in accordance with their applicable descriptions and agreements.
However, the Website and its general informational content are provided on an “as available” basis. Any estimated completion, production, shipping, or delivery dates are estimates unless a specific deadline has been expressly agreed in writing. Completion or delivery may be affected by the complexity of a commission, production requirements, Client approvals, carrier operations, customs processing, service interruptions, or circumstances outside our reasonable control.
To the fullest extent permitted by applicable law, Sinziana Iordache Art disclaims warranties or representations that are not expressly stated in these Terms, an applicable product description, a written Commission Agreement, or another agreement expressly entered into with the purchaser.
Nothing in these Terms excludes, restricts, or modifies any warranty, condition, consumer guarantee, statutory right, or other protection that cannot lawfully be excluded, restricted, or modified.
19. Governing Law
These Terms and your use of the Website are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles that would require the application of another jurisdiction’s laws.
Subject to the Dispute Resolution provisions of these Terms and any rights that cannot lawfully be limited, the parties agree that disputes arising from or relating to these Terms, the Website, or transactions with Sinziana Iordache Art will be subject to the jurisdiction of the courts of Ontario, Canada.
If you are a consumer residing outside Ontario, you may have mandatory rights or protections under the laws of your place of residence that cannot lawfully be excluded by these Terms. Nothing in this Governing Law section is intended to deprive you of those mandatory protections.
For international transactions, the application of mandatory consumer, privacy, or other laws may depend on the circumstances and jurisdiction involved.
The governing law or dispute-resolution provisions contained in a separately signed Commission Agreement or other written agreement may apply to that agreement where expressly stated.
20. Separate Agreements
Certain transactions or relationships with Sinziana Iordache Art may be subject to a separate written agreement in addition to these Terms.
In particular, original watch drawing commissions and other custom commissioned artworks may be governed by a Commission Agreement setting out project-specific terms such as the subject and specifications of the artwork, dimensions, materials, price, deposit and payment schedule, mockup approval, revisions or changes, progress documentation, estimated completion, delivery arrangements, cancellation, copyright, reproduction rights, client-supplied materials, confidentiality or publicity arrangements where applicable, and other conditions specific to the commission.
These Terms, together with our Privacy Policy, Returns & Refunds Policy, and Delivery & Shipping Policy, generally apply to use of the Website and transactions made through or in connection with it.
Where a signed Commission Agreement or another separately executed written agreement contains a provision that conflicts with these general Terms or policies, the specific written agreement will govern the subject matter of that conflict for the applicable transaction.
Terms relating to matters not addressed by the separate agreement may continue to be governed by these Terms and the applicable Website policies.
A separate agreement does not modify the terms of another customer’s transaction and does not create rights for anyone who is not a party to that agreement.
Nothing in a separate agreement or these Terms excludes or limits rights, obligations, or remedies that cannot lawfully be excluded or limited.
21. Dispute Resolution / Arbitration
If a dispute, concern, or disagreement arises in connection with the Website, a purchase, commissioned artwork, these Terms, or an applicable policy, the parties are encouraged to first make reasonable efforts to resolve the matter directly and in good faith.
A customer should contact Sinziana Iordache Art at info@sinzianaiordache.com with sufficient information to identify the relevant transaction and explain the nature of the concern. Sinziana Iordache Art will make reasonable efforts to review the matter and respond appropriately.
If a dispute cannot be resolved through direct communication, the parties may mutually agree to attempt mediation, arbitration, or another form of alternative dispute resolution before commencing or continuing court proceedings.
Unless expressly agreed in writing by the parties, arbitration is not mandatory under these general Website Terms, and neither party is required by this section to waive access to a court or tribunal that would otherwise have jurisdiction.
Where the parties mutually agree to arbitration, the location, procedure, arbitrator, allocation of costs, and applicable rules will be determined by written agreement between the parties or, failing agreement on procedural details, in accordance with applicable Ontario law.
A separately signed Commission Agreement may contain additional or different dispute-resolution provisions applicable to that particular commission. Where such provisions conflict with these general Terms, the applicable Commission Agreement will govern the dispute relating to that commission to the extent of the conflict.
Nothing in these Terms prevents either party from seeking urgent or appropriate injunctive, equitable, or other relief where reasonably necessary to protect intellectual property, confidential information, property, security, or other legal rights.
Nothing in this section limits any right to bring a complaint, claim, or proceeding before a consumer-protection authority, privacy authority, court, tribunal, or other body where that right cannot lawfully be excluded or restricted.
22. Limitation of Liability
To the fullest extent permitted by applicable law, Sinziana Iordache Art, PixelUp Inc., and their respective directors, officers, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from or relating to use of, or inability to use, the Website or its general informational content, except where such liability cannot lawfully be excluded or limited.
Sinziana Iordache Art is not responsible for losses caused solely by circumstances outside its reasonable control, including Internet or telecommunications failures, hosting interruptions, malicious third-party activity, carrier or customs delays, governmental action, natural events, or failures of independent third-party systems, except to the extent that Sinziana Iordache Art remains responsible under applicable law or an applicable agreement.
Sinziana Iordache Art is not responsible for losses resulting from inaccurate information supplied by a customer, including incorrect shipping addresses, unauthorized Client-supplied materials, or failure to follow reasonable instructions relating to an order, commission, delivery, or insurance claim.
To the fullest extent permitted by applicable law, where Sinziana Iordache Art is found liable in connection with a particular product, order, or service, its aggregate monetary liability arising from that transaction will not exceed the amount actually paid to Sinziana Iordache Art for the product or service giving rise to the claim.
For commissioned artwork governed by a separate Commission Agreement, any limitation of liability contained in that agreement will apply to the extent permitted by law.
Nothing in this section excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited, nor does it exclude, restrict, or modify any mandatory consumer right, statutory guarantee, remedy, or other legal protection that cannot lawfully be excluded, restricted, or modified.
23. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless Sinziana Iordache Art, PixelUp Inc., and their respective directors, officers, employees, contractors, representatives, and agents from reasonable claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees where recoverable, arising from or relating to your unlawful or unauthorized use of the Website, your material breach of these Terms, your fraud or wilful misconduct, or your infringement of another person’s intellectual property or other legal rights.
This obligation may also apply where a claim arises from photographs, images, logos, designs, specifications, reference materials, or other content that you provide to Sinziana Iordache Art and instruct or authorize us to use, where you did not have the necessary rights or permissions to provide or authorize that material.
For example, if a Client supplies copyrighted photographs, trademarks, logos, or other protected material for incorporation into or use in developing commissioned artwork, the Client is responsible for obtaining any permissions reasonably required for the intended use unless otherwise expressly agreed in writing.
Sinziana Iordache Art will not seek indemnification under this section for a claim to the extent that the claim results from Sinziana Iordache Art’s own unlawful conduct, negligence where liability cannot lawfully be excluded, breach of its contractual obligations, or infringement arising independently from materials or instructions supplied by the Client.
Where reasonably practicable, Sinziana Iordache Art will notify you of a third-party claim for which indemnification is sought and will not unreasonably interfere with your ability to participate in the defence of that claim, subject to our right to protect our own legitimate legal interests.
Any indemnification provision contained in a separately signed Commission Agreement may supplement or replace this section with respect to the applicable commission.
Nothing in this section requires indemnification to the extent that doing so would be prohibited by applicable law.
24. Terms & Termination
These Terms remain effective while you access or use the Website or otherwise engage in transactions or services to which these Terms apply.
Sinziana Iordache Art may restrict, suspend, or terminate access to the Website or a customer account where reasonably necessary because of fraud, unauthorized activity, security concerns, unlawful conduct, material violation of these Terms, infringement of intellectual property rights, abuse of Website functionality, or other legitimate legal or operational reasons.
Where appropriate and reasonably practicable, we may provide notice or an opportunity to address the issue before terminating access. Immediate restriction or suspension may occur where necessary to protect the Website, customers, Sinziana Iordache Art, PixelUp Inc., intellectual property, payment systems, or other persons from fraud, security threats, unlawful conduct, or material harm.
Termination or restriction of Website access does not automatically cancel an existing purchase, commission, payment obligation, intellectual property obligation, or other agreement.
Orders and commissions may be cancelled or terminated only in accordance with the applicable Returns & Refunds Policy, Delivery & Shipping Policy, Commission Agreement, these Terms, or applicable law.
If your Website account is terminated, personal information and transaction records associated with that account may continue to be retained where reasonably necessary for accounting, tax, contractual, fraud-prevention, intellectual property, dispute-resolution, security, or other legitimate legal or business purposes, as described in our Privacy Policy.
Provisions that by their nature are intended to continue after termination, including provisions concerning intellectual property and copyright, payment obligations, client-supplied materials, limitations of liability, indemnity, governing law, dispute resolution, and accrued rights and obligations, will survive termination to the extent applicable.

Marketing subscription information may be retained for as long as you remain subscribed. If you unsubscribe, limited information may continue to be retained where reasonably necessary to record and respect your opt-out preference and demonstrate compliance with applicable requirements.
Website, security, analytics, backup, and technical records may be retained for periods determined by their purpose, configuration, and the practices of the applicable service provider.

Returns & Refunds Policy
1. Order Cancellations
Because Sinziana Iordache Art sells both individually commissioned artwork and made-to-order products, cancellation rights depend on the type of order and the stage the order has reached.
An original or custom commission may be cancelled before work begins on the final commissioned artwork. Where a refundable deposit has been paid and the commission is cancelled before final artwork has commenced, the refundable amount will be returned using the original payment method.
Once work on the final commissioned artwork has begun following approval of the agreed concept or mockup, the commission may no longer be cancelled without financial consequence and the 50% deposit becomes non-refundable, except where required by applicable law or otherwise agreed in writing.
If a Client asks to terminate a commission after work has begun, additional payment may be due for work completed, materials or expenses incurred, and other commitments made in connection with the commission, as provided in the applicable Commission Agreement. Any amount due will be determined in accordance with that Agreement and will not exceed the total Commission Price plus any separately approved additional charges or expenses. Once the commissioned artwork has been completed substantially in accordance with the approved concept and agreed specifications, the full outstanding balance becomes payable.
Orders for giclée prints may be cancelled only before the print has entered production. Because each giclée print is produced specifically in response to an order, cancellation is no longer available once production has begun.
If an order is eligible for cancellation, any refundable amount will be returned to the original method of payment. Processing times may vary depending on the payment provider or financial institution.
Sinziana Iordache Art reserves the right to cancel an order or commission where it cannot reasonably be fulfilled. If Sinziana Iordache Art cancels an order for reasons not caused by the Client, payments received for goods or services that will not be supplied will be refunded.
2. Returns
All original artwork, commissioned artwork, and made-to-order giclée prints are final sale.
Because our artworks are created individually, produced to order, or made specifically for each collector, all sales are final, except where otherwise required by applicable law.
Original drawings and commissioned artworks are created individually by hand, while all giclée prints are produced to order. Because of the custom and made-to-order nature of these artworks, returns and exchanges are not accepted for change of mind, personal preference, or other reasons unrelated to an error or damage covered by our policies. Commissioned artwork is additionally subject to the approval, correction, and material-departure provisions contained in the applicable Commission Agreement.
If your artwork arrives damaged during shipment, please contact info@sinzianaiordache.com promptly and provide your order number, photographs of the damaged artwork, and photographs of both the exterior and interior packaging.
Please retain the artwork, all original packaging, shipping labels, and protective materials while the matter is being reviewed. These may be required by the carrier or insurer when processing a claim.
All shipments are insured. Where transit damage is confirmed, we will work with you and the applicable carrier or insurer toward an appropriate resolution. Depending on the circumstances and the nature of the artwork, this may include repair, replacement where possible, or reimbursement.
Damage occurring after successful delivery as a result of improper handling, storage, installation, framing, modification, or other actions outside our control is not considered shipping damage and is not eligible for a replacement or shipping insurance claim.
Nothing in this policy limits any rights or remedies that cannot lawfully be excluded under applicable consumer protection legislation.
3. Refunds
Because Sinziana Iordache Art sells original artwork, individually commissioned drawings, and made-to-order giclée prints, refund eligibility depends on the type of order and the stage it has reached.
For commissioned artwork, the 50% commission deposit remains refundable until work begins on the final commissioned drawing. Once work on the final artwork has begun following approval of the agreed concept or mockup, the deposit becomes non-refundable, except where otherwise provided in the applicable Commission Agreement, required by applicable law, or agreed in writing.
Giclée print orders may be cancelled and refunded only before the print has entered production. Once production has begun, the order is final and cannot be cancelled or refunded for change of mind.
This policy does not limit any rights or remedies that cannot lawfully be excluded under applicable consumer protection legislation.
If Sinziana Iordache Art is unable to fulfil an order or commission for reasons not caused by the Client, payments received for goods or services that will not be supplied will be refunded.
If an incorrect item is supplied or an artwork is damaged during shipment, please contact info@sinzianaiordache.com promptly so the circumstances can be reviewed and, where appropriate, a carrier or insurance claim can be initiated.
A refund, replacement, repair, or other resolution for a damaged or incorrect order will be determined based on the circumstances of the order, the nature of the damage, carrier and insurance requirements, and any rights available under applicable law. Any approved refund will be issued to the original method of payment. The time required for the funds to appear in the purchaser’s account may vary depending on the payment provider or financial institution.
Nothing in this Refund Policy excludes or limits any refund, remedy, or other right that cannot lawfully be excluded under applicable law.
Delivery & Shipping Policy
1. Delivery
All artwork sold by Sinziana Iordache Art is prepared and delivered with care, whether it is an original commissioned drawing or a made-to-order giclée print.
Original watch drawings and custom commissions are created individually for each client and may require an extended period of time to complete. Completion times vary depending on the size and complexity of the artwork, the level of detail involved, the availability and quality of reference material, client approvals, and the Artist’s current studio schedule.
An estimated completion timeline will normally be discussed with the Client before work begins. Unless a specific delivery date has been expressly agreed to in writing, any completion or delivery date provided is an estimate and is not guaranteed.
Giclée prints are made to order and require production and preparation time before shipping. Estimated shipping or delivery times shown on the website begin after an order is ready for dispatch and do not necessarily include production time.
All artwork and commissions must be paid in full before shipment, delivery, or release to the Client unless otherwise expressly agreed in writing. Once completed and paid in full, original commissioned artwork will be prepared for delivery in accordance with the shipping arrangements described below.
Delivery times after dispatch are estimates provided by the carrier. Delays caused by carriers, customs authorities, weather, transportation disruptions, or other circumstances outside the reasonable control of Sinziana Iordache Art may occur.
2. Commission Deposits & Final Payment
Original watch drawing commissions and other bespoke commissioned artworks require a deposit equal to 50% of the agreed commission price in order to confirm the project.
Before beginning the final artwork, the Artist may consult with the Client, photograph the Client’s watch where practical, review reference material, develop the proposed composition, and prepare one or more digital mockups or concepts for the Client’s approval.
The 50% deposit remains refundable until work begins on the final commissioned artwork. For the purpose of this policy, preliminary discussions, reference photography, concept development, and preparation of mockups do not by themselves constitute commencement of the final artwork.
Once the Client has approved the concept or mockup and the Artist begins work on the final commissioned drawing, the deposit becomes non-refundable, except where otherwise provided in the applicable Commission Agreement, required by applicable law, or expressly agreed in writing.
The remaining 50% balance is due upon completion of the commissioned artwork and before the artwork is shipped, delivered, or otherwise released to the Client.
During the creation of a commission, the Artist normally provides progress photographs and/or videos so that the Client can follow the development of the artwork and raise any concerns while the work is in progress.
Specific commission terms, including the artwork specifications, price, estimated completion date, payment schedule, revisions, delivery arrangements, and other project-specific conditions, may also be set out in a separate written Commission Agreement. Where a signed Commission Agreement contains terms specific to a particular project, those terms will govern that commission to the extent of any inconsistency with this general policy.
3. Made-to-Order Giclée Prints
All giclée prints sold through Sinziana Iordache Art are produced to order rather than held as standard pre-produced inventory.
Once an order has been placed, the print may enter production shortly thereafter. Because production is undertaken specifically for the purchaser, an order cannot be cancelled once production has begun.
Variations between the appearance of an artwork on a digital screen and the finished giclée print may occur due to differences in monitor calibration, screen brightness, colour profiles, printing processes, paper or substrate characteristics, and other factors inherent to digital reproduction and fine-art printing. Such reasonable variations do not constitute a defect.
Where a print is offered as a limited edition, edition information shown on the applicable product page forms part of the description of that print.
Made-to-order giclée prints are final sale and are not eligible for return or exchange because of a change of mind, subject to applicable law and the provisions below concerning damaged or incorrect orders.
4. Shipping
Sinziana Iordache Art ships artwork using established carriers including DHL, UPS, FedEx, and other suitable delivery providers where appropriate.
The carrier and shipping service used for an order may depend on the destination, artwork dimensions, value, packaging requirements, service availability, and whether the shipment contains an original artwork or a giclée print.
All shipments are insured.
Original artworks are professionally and securely packaged to protect them during transit. Appropriate protective materials and packaging methods are selected according to the dimensions, medium, value, and requirements of the individual artwork.
Giclée prints are packaged in suitable protective tubes, flat packaging, or other appropriate fine-art packaging depending on their dimensions and format.
Tracking information will be provided where available.
Sinziana Iordache Art generally uses overnight or similarly expedited delivery for original drawings where the destination and carrier service permit, in order to minimize the amount of time the artwork spends in transit.
Once an order has been transferred to the shipping carrier, actual transit times are outside the direct control of Sinziana Iordache Art. We will, however, assist where reasonably possible if a shipment is delayed, damaged, or lost. Risk of accidental loss or damage remains with Sinziana Iordache Art until successful delivery to the purchaser or the purchaser’s authorized recipient, subject to applicable law. Where an order is shipped using a carrier arranged by Sinziana Iordache Art, loss or damage occurring before successful delivery will be addressed through the applicable carrier and insurance process as described below.
5. Free & Express Shipping
Sinziana Iordache Art offers free standard shipping to many eligible destinations.
Eligibility for free shipping depends on the destination, product, order, and shipping options currently available. If an order qualifies for free standard shipping, the applicable option will be displayed during checkout.
Express shipping may also be available for eligible destinations at a flat rate or other rate displayed during checkout.
Available shipping methods and any applicable charges are shown before the order is completed. The shipping option selected and confirmed during checkout forms part of the order.
Free shipping applies only where specifically shown as available during checkout and does not include customs duties, import taxes, brokerage fees, or other charges imposed by authorities or third parties in the destination country.
6. Shipping Destinations
Sinziana Iordache Art ships internationally to many countries.
Available shipping destinations may change from time to time due to carrier availability, customs requirements, international trade conditions, legal or regulatory restrictions, shipping costs, insurance limitations, or other operational considerations.
The countries and regions currently available for delivery are those made available for selection during checkout. If a country or region cannot be selected as a shipping destination, orders cannot currently be shipped to that location.
Sinziana Iordache Art reserves the right to add, remove, or temporarily suspend shipping to particular destinations when reasonably necessary.
7. Shipping to a Different Address
Orders may be shipped to an address different from the billing address where this option is available during checkout.
If an artwork is being purchased as a gift or needs to be delivered to another recipient, select Ship to a different address during checkout and provide the complete shipping information for the intended recipient.
The purchaser is responsible for ensuring that the recipient’s name, address, postal or ZIP code, telephone number, and any other information required for delivery are complete and accurate.
Where account functionality is used, billing and shipping information may be stored in the customer account for future purchases in accordance with our Privacy Policy.
8. Incorrect Shipping Information
Shipping labels and carrier documentation are prepared using the information supplied by the purchaser during checkout. Please review the shipping address carefully before submitting an order.
If you discover an error after placing an order, contact info@sinzianaiordache.com as soon as possible and provide the order number and correct shipping information.
If the order has not yet been dispatched, Sinziana Iordache Art will make reasonable efforts to correct the shipping information.
Once an order has been transferred to the carrier, however, an address change may no longer be possible. The purchaser may be required to contact the carrier directly, and any additional carrier fees, redirection charges, return-to-sender fees, customs charges, or reshipping costs resulting from incorrect information supplied by the purchaser may be the purchaser’s responsibility.
Sinziana Iordache Art is not responsible for delivery delays or failed deliveries resulting from inaccurate or incomplete shipping information supplied by the purchaser.
9. Damaged Shipments
All shipments are insured and artwork is carefully packaged before dispatch. Nevertheless, damage can occasionally occur while a package is in transit.
If an artwork or print arrives damaged, please contact info@sinzianaiordache.com promptly after delivery and provide the order number, photographs of the damaged artwork, photographs of the exterior and interior packaging, and any visible damage to the shipping container.
Please retain the artwork, all original packaging, shipping labels, protective materials, and other contents until instructed otherwise. The carrier or insurer may require these materials when assessing a claim and may request additional photographs, documentation, or inspection of the shipment.
The purchaser agrees to reasonably cooperate with any carrier or insurance claim required to investigate transit damage.
Please do not discard damaged packaging or attempt to return damaged artwork without first contacting Sinziana Iordache Art, as doing so may affect the ability to make an insurance claim.
Where transit damage is confirmed, Sinziana Iordache Art will work with the purchaser and the applicable carrier or insurer toward an appropriate resolution. Depending on the circumstances and the nature of the artwork, this may include repair, replacement where possible, or reimbursement, subject to the carrier or insurance process and applicable law.
10. Lost or Stolen Packages
All shipments are insured and, where available, sent with tracking.
If tracking information indicates that a shipment has been delayed or lost in transit, please contact info@sinzianaiordache.com with the order number and tracking information. Sinziana Iordache Art will work with the shipping carrier and, where applicable, the insurer to investigate the shipment and initiate the appropriate claim process.
A shipment reported as lost may need to remain undelivered for the period required by the carrier before it can officially be declared lost and an insurance claim can be processed.
If tracking records indicate that a package was delivered but the purchaser believes it was stolen after delivery, the purchaser should notify Sinziana Iordache Art promptly. Photographs, security footage, police reports, carrier documentation, or other supporting information may be requested where relevant to an insurance or carrier investigation. Where a shipment has been successfully delivered to the purchaser, the purchaser’s authorized recipient, or the delivery location designated by the purchaser, loss or theft occurring after successful delivery is generally outside the control of Sinziana Iordache Art.
Insurance coverage and reimbursement for lost or stolen shipments are subject to the terms, investigation, and determination of the applicable carrier or insurer. Sinziana Iordache Art will provide reasonable assistance with the claim but cannot guarantee the outcome of a carrier or insurance investigation.
Nothing in this section limits rights that may otherwise be available to the purchaser under applicable law.
11. Customs Duties & Import Fees
International shipments may be subject to customs duties, import taxes, value-added taxes, brokerage charges, clearance fees, or other charges imposed by the destination country, carrier, customs authority, or other applicable authority.
Unless expressly stated otherwise during checkout, these charges are not included in the artwork price or shipping charge and are the responsibility of the purchaser.
Customs requirements and charges vary considerably between countries. Sinziana Iordache Art does not control these charges and cannot guarantee or predict the amount that may be assessed.
Purchasers are responsible for determining any customs, tax, import, or other requirements that may apply in their destination country before placing an order.
Delays resulting from customs inspection or clearance procedures are outside the direct control of Sinziana Iordache Art.
If a purchaser refuses delivery, fails to pay required import charges, or otherwise causes a shipment to be returned because destination-country requirements have not been satisfied, any resulting customs charges, return shipping costs, carrier fees, and reshipping costs may be deducted from any amount otherwise refundable, to the extent permitted by applicable law.
